By using our Services, you confirm that:

3. Client Responsibilities

You agree to:

  • Provide timely access to required content, branding assets, logins, and information necessary for project completion.
  • Ensure that all content you supply (text, images, videos, trademarks, logos, course materials) is owned by you or properly licensed.
  • Review deliverables promptly and provide feedback within agreed timelines.

Delays caused by missing information, approvals, or materials may affect project timelines and are not our responsibility.


4. Payments and Fees

  • All fees are stated in the applicable proposal, invoice, or checkout page.
  • Payments must be made in full before work begins.
  • All payments are non‑refundable unless otherwise stated in writing.
  • Late payments may result in paused work, delayed delivery, or suspension of access to services.

You are responsible for all applicable taxes, transaction fees, and third‑party platform charges.


5. No Guarantees

While we apply professional expertise and best practices, we do not guarantee:

  • Specific revenue, sales, enrollments, or business results.
  • Platform performance beyond the limitations of third‑party tools.
  • That your audience will respond in a particular way.

Success depends on multiple factors beyond our control, including your marketing, audience, pricing, and content quality.


6. Intellectual Property

6.1 Your Content

You retain ownership of all content you provide to us. By engaging our Services, you grant us a limited license to use your content solely for the purpose of delivering the agreed services.

6.2 Our Work

Unless otherwise agreed in writing:

  • We may showcase completed projects and testimonials in our portfolio unless you request otherwise in writing.


7. Third‑Party Platforms

Our Services may involve third‑party platforms (e.g., email marketing services, payment processors, hosting providers). We are not responsible for:

  • Downtime, errors, or changes made by third‑party providers.
  • Fees, policy changes, or service interruptions caused by those platforms.

  • Requests outside the agreed scope may require additional fees and timelines.
  • Major changes after project approval may be treated as a new project.

We reserve the right to suspend or terminate services if:

  • Payments are overdue.
  • There is abusive, unethical, or unlawful behaviour.

You may terminate services by written notice; however, fees paid are non‑refundable for work already completed.


10. Limitation of Liability

To the fullest extent permitted by law:

  • We shall not be liable for indirect, incidental, or consequential damages.
  • Our total liability shall not exceed the amount paid by you for the specific service giving rise to the claim.


11. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses arising from:

  • Your content.
  • Your misuse of the Services.
  • Your violation of applicable laws or third‑party rights.


12. Confidentiality

Both parties agree to keep confidential information shared during the course of the project private, unless disclosure is required by law.

These Terms shall be governed by and interpreted in accordance with the laws of Nigeria, without regard to conflict of law principles.
